A common understanding of Fujitsu's mission, values and code of conduct serves as the standard governing individual employees' business activities, as well as the driving force behind our socially responsible business strategy and the inspiration for related companywide activities, business policies and plans.

Fujitsu continually seeks to create new value by providing customers with comprehensive solutions comprising highly reliable high-performance products and services based on powerful technologies. Through this, we aim to grow, realize profits and foster mutually beneficial relationships in our communities worldwide.

Fujitsu believes that ensuring the transparency and effectiveness of corporate management for shareholders and other stakeholders is essential for good corporate governance. In order to do so, we utilize outside directors and separate management oversight and operational execution functions. We believe that clear separation of these two functions helps to ensure management transparency and efficiency.

Management Oversight
The Board of Directors carries out a management oversight function, supervising the execution functions of the Management Strategy Council and Management Council under its authority.

Operational Oversight
As an executive organ, the Management Strategy Council discusses and decides upon fundamental policies and strategy regarding business management. The Management Council makes decisions on important matters regarding operational execution. The Board of Directors makes decisions on items of particular importance on the agendas of the two councils. Statutory auditors carry out an auditing function, reviewing the Board of Directors as well as operational execution functions.

The FUJITSU Way Promotion Council was established in July 2004 as a body reporting directly to the Management Council and charged with accelerating groupwide implementation of the principles contained in The FUJITSU Way . At the same time, committees responsible for risk management, compliance and environmental matters were established as part of the organization.

Compliance Committee
The Compliance Committee is responsible for promoting structures and systems to ensure strict compliance with external as well as internal rules, regulations and norms of behavior. In order to foster a strong corporate compliance environment, the committee, together with the Law & Intellectual Property Group, identifies and communicates information regarding laws and regulations as well as internal rules to which Fujitsu employees should adhere.

Risk Management Committee
The Risk Management Committee monitors on an ongoing basis the variety of risks to which the company is exposed and develops strategies to mitigate them. Serious risk-related issues are reported to the Management Council and to the Board of Directors so that countermeasures can be thoroughly considered. The committee has established direct lines of communications with frontline operations throughout the Fujitsu Group to provide early warning and rapid reporting of potential problems. Mechanisms are also in place for coordinating with business groups and operational divisions in order to quickly analyze, evaluate and devise measures to deal with specific risk incidents, as well as to prevent reoccurrence. Risk management seminars and online learning programs are also carried out to strengthen employees' awareness of and ability to deal with risk issues.

Environmental Committee
The Environmental Committee is responsible for promoting and strengthening the environmental protection activities of the Fujitsu Group, which are based on The Fujitsu Group Environmental Policy and The Fujitsu Group Environmental Protection Program .
